Terms of Service
These Terms of Service ("Terms") govern your access to and use of Lodestar Finance Inc.'s ("Lodestar") services, including our valuation platform, reports, and related services.
1. Acceptance of Terms
By accessing or using our services, you agree to be bound by these Terms. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
Lodestar provides valuation analysis, reports, and related services for private market assets. Our services include but are not limited to:
- Liquidity Valuation Memos
- Portfolio Mark Support
- Deal Fairness Opinions
- Issuer Vault services
- Trust Mark verification
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Data and Confidentiality
You retain ownership of all data you provide to Lodestar. By using our services, you grant us a license to use your data solely for the purpose of providing our services to you. We will maintain the confidentiality of your data in accordance with our Privacy Policy and any applicable confidentiality agreements.
5. Valuation Reports
Our valuation reports represent our independent analysis based on the information provided and our proprietary methodology. Reports are:
- Provided for informational purposes
- Not a guarantee of actual transaction prices
- Based on data available at the time of analysis
- Subject to the limitations described in each report
6. Intellectual Property
Our methodology, protocols, software, and other intellectual property remain the exclusive property of Lodestar. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written consent.
7. Limitation of Liability
To the maximum extent permitted by law, Lodestar shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.
8. Disclaimer of Warranties
Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements.
9. Termination
Either party may terminate this agreement with written notice. Upon termination, your access to our services will cease, but provisions regarding confidentiality, intellectual property, and limitation of liability shall survive.
10. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
11. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through our platform. Continued use of our services after changes constitutes acceptance of the modified Terms.
